A PRIVATE EQUITY METHODOLOGY:

Both in its initial approach and while monitoring an investment, nempartners uses the methodology applied to private equity.

Structured investment process

In order to form a solid opinion of the target investment, the nempartners team performs four types of due diligence:

internal diligence: analysis of the company's management documents, existing market studies, consultations and opinions of sector experts;

analysis of the target's stock market profile (share price performance, stock market image, peers, sector attractiveness);

external audits: targeted depending on the case (financial, legal, technological, logistical etc.);

defining suitable corporate governance (involvement of nempartners in the target's executive bodies, audit committee, shareholders' agreement etc.)

A high quality consultative committee

For its investments, nempartners benefits from the support of a consultative committee made up of the following people:

3 independent members:

- Remi Delafon : former Chairman of Maître Fournil
- Olivier de la Morinière : Executive Chairman of Fraikin
- Christian Toulouse : former director of Docks de France

2 members of Natixis Private Equity (François Baubeau, Jean Duhau)

1 member of Natixis (Théophile. Barbu)

nempartners: an involved partner

In its investment strategy,nempartners favors a consensus approach, playing an active role in all stages of a strategy defined in collaboration with management. Applied with tenacity and flexibility, shareholder activism is a desire to share support of management's principles and performance targets with the management team and all of the company's shareholders on an ongoing basis.
Shareholder activism is therefore a key aspect of nempartners involvement and often a vital part of enhancing value for the investment period.
